Guidelines for remuneration

The Board’s guidelines for remuneration decided by the 2023 Annual General Meeting is in accordance with the most recently adopted guidelines.

Remuneration to the Board of Directors

Decisions on remuneration to the Board of Directors are made by the Annual General Meeting. At the Annual General Meeting on 1 June 2023, Board fees were resolved in accordance with the following: SEK 450,000 to the Chairman of the Board and SEK 225,000 to each non-employed Board member.

Chairmen and directors who are not simultaneously employed by the Company, do not receive any salary from the Company and are not eligible to participate in the Company’s possible future incentive programs.

Remuneration and benefits to senior executives 2022

Decisions on remuneration to the CEO are made by the Board of Directors. Since February 1, 2021, Yoav Ben-Eli, member of the Board of Directors and largest shareholder of the Company, receives his remuneration from the Group subsidiary in Angola via a consultancy agreement and is since January 2022 employed by the parent company. The agreement amounts to 40,500 euros per month, and the total payments for 2022 amounted to 6,524 MSEK. Yoav Ben-Eli received a salary of approximately TSEK 47 per month from the parent company for the period January-December 2022.

Other senior executives in Crown Energy are Michail Shatkus (CFO and Deputy CEO) and Alan Simonian (COO).
